Introduction
The following Terms and Conditions (“Terms”) constitute a legal agreement between you and Ecofy Energy (“Ecofy,” “we,” “our,” or “us”) and shall govern your access to and use of Ecofy’s services, including the website, mobile applications, and any other products or services offered by Ecofy (collectively referred to as the “Services”).
These Terms apply in full force and effect when you create an Ecofy account, access our Services, integrate our APIs, or otherwise interact with us. By using any of the Services, you expressly accept all terms and conditions contained herein in full, including our Privacy Policy. You must not use any of the Services if you object to any of these Terms.
Please ensure you read and understand these Terms, as well as all policies and agreements that apply to you, before agreeing to be bound by them.
The governing language of these Terms and all communication between Ecofy and you shall be English.
Purpose & Scope of Agreement
This Terms of Service is an Agreement between you and Ecofy. It outlines the terms and conditions governing your use of Ecofy’s Services, our obligations to you, and highlights risks associated with using the Services.
Age Restriction
Ecofy’s website and Services are designed for individuals aged 18 and above. You must be 18 years or older to use the Services. We do not knowingly engage users under the age of 18.
Know Your Customer (KYC)
We are required to carry out security and due diligence checks to prevent fraud, money laundering, and other illicit activities. By using our Services, you agree to comply with our KYC requirements, including providing accurate and up-to-date information during the verification process.
We may collect and securely store personal and financial information, such as your name, email, phone number, address, government-issued ID, and other relevant data in accordance with our Privacy Policy. Changes to the information provided must be communicated within 14 days.
Ecofy may verify your information using third-party databases or relevant sources. You are solely responsible for ensuring your customers’ eligibility to transact through your platform.
Account Security
You are responsible for maintaining the security of your Ecofy account credentials. If you suspect unauthorized access or account compromise, immediately change your password and contact our support team.
Ecofy may suspend your account if we detect unauthorized access, security concerns, or fraudulent activity.
License to Use Our Website
We grant you a revocable, non-exclusive, and non-transferable license to use Ecofy’s website, APIs, and other tools in accordance with their documentation. All rights to Ecofy’s services, including updates, upgrades, and replacements, remain our exclusive property.
You must not alter, reverse-engineer, or reproduce Ecofy’s proprietary software or intellectual property. Feedback or suggestions you provide about our Services may be used without obligation to you.
Warranties and Representations
By using Ecofy’s Services, you represent and warrant that:
- You are authorized to enter into this Agreement.
- You comply with applicable laws and regulatory standards in your location.
Charges and Fees
You agree to pay all fees outlined on our Pricing page for the Services. Fees may be updated periodically, and we will notify you of such changes. Disputed charges must be communicated in writing within 48 hours.
Disclaimers
ECOFY’S SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted or error-free operation of our Services. Users are responsible for protecting their devices and data from potential threats such as viruses or malware.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECOFY SHALL NOT BE LIABLE FOR DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DATA, PROFITS, OR BUSINESS INTERRUPTION ARISING FROM THE USE OR INABILITY TO USE OUR SERVICES.
Indemnification
You agree to indemnify and hold Ecofy harmless from any claims, losses, or liabilities arising from your use of our Services, breach of these Terms, or violation of third-party rights.
Intellectual Property
All intellectual property rights in Ecofy’s content, services, and trademarks are owned by Ecofy or its licensors. You may not copy, reproduce, or redistribute Ecofy’s content without express permission.
Non-Disclosure
Both parties agree to safeguard any confidential information shared in connection with the Services. Confidential information excludes publicly known data or information independently developed without breach of this Agreement.
Breaches of These Terms
Ecofy may suspend or terminate your account for breach of these Terms, including unauthorized access to our Services or violation of applicable laws.
Dispute Resolution
Disputes arising from these Terms shall be resolved amicably within 15 business days. If unresolved, the matter may proceed to mediation with a mutually chosen mediator. Mediation findings will be binding, and costs will be borne by the respective parties.
Assignment
Ecofy may assign its rights and obligations under these Terms. You may not transfer your rights or obligations without prior written consent from Ecofy.
Data Protection
Ecofy adheres to data protection regulations, including the General Data Protection Regulation (GDPR). Our Privacy Policy outlines how we collect, store, and use your personal data.
Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, and disputes shall be resolved within Nigerian courts.
Changes to Terms of Use
Ecofy may modify these Terms at any time. Continued use of our Services constitutes acceptance of revised Terms.
General
These Terms supersede all prior agreements between you and Ecofy. If any provision of these Terms is deemed unenforceable, the remaining provisions remain effective.
